Management Sciences for Health (MSH) recrute un Associate General Counsel

Management Sciences for Health (MSH) hiring Associate General Counsel. 

The Associate General Counsel (AGC) reports to the General Counsel and assists the Office General Counsel in performing all duties. AGC primarily serves as a support point for his MSH overseas programs in approximately 25 African countries. See the list here [link to ‘Where we work’ on the website]. They include, for example, B. labor laws, local supplier agreements, leasing, company law and corporate governance, compliance with applicable donor requirements, host country general legal requirements and conflicts of interest, procurement integrity, and other problem. Work with legal advisors and consult with local attorneys as needed. You will represent the General Counsel in collaboration with a variety of her MSH offices, technical programs, projects, and third parties. In addition, they assist the General Counsel and the organization as directed and represent the General Counsel when necessary. You will be her fourth member of the General Counsel’s Office, along with the General Counsel, Legal Affairs Manager, and Board Liaison.

Specific responsibilities include

Employment Matters (30%)

  • Advise management and human resources partners on employment contracts, visas, employee relations, adverse employment actions, and employment litigation, working with general counsel and outside counsel as appropriate. Create, revise and advise on current internal policies and compliance documents.

Vendor Contract Legal Review (20%)

  • Review, revise and work with relevant country office to ensure compliance with a range of commercial contracts

Organizational Standards (20%)

Partner with the General Counsel in setting and advising regarding:

  • Organizational standards for drafting the terms of all contracts/agreements/grants created by contracting/procurement personnel
  • Contract related templates. Compliance checklist. Donor Consent to MSH’s Interpretation of Terms and Conditions. (The template will be developed by the standardization lead contract officer)
  • The organization’s compliance requirements under the Business Ethics and Compliance Code.

Protest, Disputes, Resolutions, Terminations (5%)

  • Assist the General Counsel in lodging and defending against protests, disputes, and terminations of MSH contracts/agreements.

Real Estate Holdings/Lease Matters (5%)

  • Review and advise regarding MSH offices’ leases, and monitor MSH’s compliance with legal requirements.

Support Internal Investigations (20%)

  • Provide legal assistance to investigations of allegations of employee misconduct; review and finalize of reports of investigation; ensure compliance with reporting requirements to donors.
Qualifications and experience

Experience

  • Recognized and fully accredited by at least one bar association
  • At least 8 years of experience as a lawyer in English. (French is preferred)
  • A combination of experience at a large law firm and an in-house role in a legal department (preferred)
  • Experience as a lawyer in multiple African jurisdictions

Skills

  • Experience interpreting U.S. federal regulations regarding government contracts and grants.
  • Experience in commercial law, procurement, labor law, and corporate law.
  • Knowledge of international donors and the aid sector is an advantage.
  • We advise organizational leaders and human resources departments on employment and labor law in all aspects of the employee lifecycle, including: employment practices, performance management, active employee training, diversity and inclusion initiatives, affirmative action compliance, employee policies, compensation, wage and hour issues, accommodation and leave issues, terminations, reorganizations, employees employee benefits and other employment-related matters.
  • Experience with internal investigations into allegations of misconduct.
  • We provide strategic and tactical thought leadership on how best to resolve all types of legal issues and disputes in a cost-effective and efficient manner.
  • Stay abreast of changes in employment law, contract law, and other relevant areas in relevant jurisdictions and communicate changes and potential impact to Human Resources and other stakeholders.
  • training programs that focus on privileged internal audits and reviews of internal processes, the introduction and enforcement of new policies, and explaining various employment-related risks and mitigating clients’ exposure to legal claims.
  • Coordinates and drives the completion of employment-related projects.
  • May perform other duties, including handling a variety of separate transactional matters as assigned.

  • Demonstrated ability to handle multiple demands of multiple tasks simultaneously.
  • A solid understanding of the role of the legal department in an international organization.
  • Demonstrated organizational, planning, time management, and problem-solving skills.
  • Strong knowledge of Microsoft Office Suite applications such as Word, SharePoint, and PowerPoint is required.

Physical demands

Travel

  • Some international travel within Africa and to the United States
